Terms of Use (Web Services)

1. WELCOME TO ADAMS WOOLEY — Chartered Professional Accountants

We are ADAMS WOOLEY ("ADAMS WOOLEY"), 824 - 1st Street South, Cranbrook BC V1C 7H5, Canada. A British Columbia Registered Partnership, Registration Number 52570610.

You may be a private person or be part of an organization (commercial or non-commercial). These ADAMS WOOLEY Terms of Use pertain to our web site only. We also like to refer you to the ADAMS WOOLEY Web Site Privacy Policy . These two Terms (Terms of Use and Privacy Policy constitute the Agreement or Contract ("Agreement") between you - the User ("User") - and us at ADAMS WOOLEY in regards of your use of Our Web Services.

The term "Our Web Services" includes all that we do and offer, including providing information, enabling communication, welcoming online payments, self-booking of appointments, distribution of newsletters, enabling uploading documentation, and more.

The User, you, should carefully read the Agreement before using Our Web Services. By using Our Web Services you agree to be bound by the Agreement. This is a legally binding agreement. If you do not agree with the Agreement you should not use Our Web Services.

If you are using our Our Web Services on behalf of a commercial or a non-commercial or a governmental legal entity ("Legal Entity"), that Legal Entity unreservedly accepts the Agreement.

By using Our Web Services you ratify our Terms of Use and Privacy Policy.

2. ABOUT OUR CHARTERED PROFESSIONAL ACCOUNTANT TERMS AND CONDITIONS

We recognize that you likely visit and use our web site in the context of actual or intended use of our Chartered Professional Accountants services. In view thereof, please note the following.

A). CHARTERED PROFESSIONAL ACCOUNTANT TERMS AND CONDITIONS

Chartered Professional Accountants services Terms and Conditions are as provided in each client Engagement Letter. They are essentially as follows:

  • Our fees and costs are payable upon receipt of invoice.
  • Invoices unpaid 30 days past the billing date may be deemed delinquent and are subject to an interest charge of 2.00% per month or 24.00% (APR) per annum.
  • We reserve the right to suspend our services or to withdraw from an engagement in the event that any of our invoices are deemed delinquent.
  • In the event that any collection action is required to collect unpaid balances due to us, you agree to reimburse us for our costs of collection, including legal fees.

B). CHARTERED PROFESSIONAL ACCOUNTANT PRIVACY POLICY

In regards to our Privacy Policy pertaining our actual Chartered Professional Accountants services, it is acknowledged that we will have access to all personal information in your custody that we require to complete our engagement. Our services are provided on the basis that:

  • You represent to us that you have obtained any required consents for collection, use and disclosure to us of personal information required under applicable privacy legislation;
  • We will hold all personal information in compliance with our firm's Privacy Statement.

C). CHARTERED PROFESSIONAL ACCOUNTANT REFUND POLICY

There are no refunds on paid invoices, as invoices are normally rendered when services have been provided or are in progress.

There may be a refund available in certain circumstances if a prebill has been rendered and paid, but work has not begun.

D). CHARTERED PROFESSIONAL ACCOUNTANT DELIVERY POLICY

Not applicable to our services.

2. INTELLECTUAL PROPERTY

Please respect our property. All intellectual property—work flows, business processes, all texts, source code, templates, art work, images, methods, trademarks, and so forth—are either ADAMS WOOLEY intellectual property, or used under license by ADAMS WOOLEY.

You are not allowed to copy, distribute, or republish any of the intellectual property of Our Web Services.

You are allowed to make print outs or screen copies for your own use.

Unsolicited Ideas: ADAMS WOOLEY or any of its employees do not accept or consider unsolicited ideas. The sole purpose of this policy is to avoid potential misunderstandings or disputes when ADAMS WOOLEY's products or marketing strategies might seem similar to ideas submitted to ADAMS WOOLEY.

Terms of Feedback: ADAMS WOOLEY welcomes your feedback regarding ADAMS WOOLEY's staff, products, and services. Any feedback you provide to ADAMS WOOLEY shall be deemed to be non-confidential unless explicitly indicated that feedback or explicit parts are confidential. ADAMS WOOLEY shall be free to use such information on an unrestricted basis. By submitting your feedback, you voluntarily waive any and all rights to intellectual property contained in your feedback.

3. ONLINE PAYMENTS

ADAMS WOOLEY uses the online collection services of one of Canada's leading Merchant Banks: Moneris. Moneris online collection services are offered through their product Moneris eSelect PLUS hosted payment gateway.

If you have any concerns, we can arrange alternative means of payment for you. It remains your choice and responsibility how you choose to pay, and you remain fully responsible for consequences of your choice of payment.

11. A FEW REMAINING TERMS

You agree to use Our Web Services in a manner consistent with any and all applicable rules and regulations.

You accept that Our Web Services are provided on an "as is, as available" basis.

You may terminate your use of Our Web Services at any time.

We too may terminate Our Web Services at any time.

ADAMS WOOLEY does collect, process, store, and transmit data obtained from you and about you as you use Our Web Services. We use this data strictly for our own purposes, and in order to be better able to serve you. You may always contact us to request details about data pertaining to you. Contact us or call +1 (250) 426 8277. Our Privacy Policy explains our handling of data pertaining you in more detail.

We may publish posts, exchanges, ideas, comments, or opinions of other Users of Our Web Services. Please remember that we do not always screen such communications, and that whatever is said may not reflect our own views. We cannot accept responsibility for such communications.

The same applies to links (URL's) and references to web sites or other resources outside ADAMS WOOLEY. We cannot accept responsibility for the contents or quality of services of such other resources.

12. SEVERABILITY AND LAW

In the event that any provision of this Agreement conflicts with the law under which this Agreement is to be construed invalid or if any such provision is held invalid by a court with jurisdiction over the Parties to this Agreement, (i) such provision shall be deemed to be restated to reflect as nearly as possible the original intentions of the Parties in accordance with applicable law, and (ii) the remaining terms, provisions, covenants and restrictions of this Agreement shall remain in full force and effect.

This Agreement shall be construed and controlled by the substantive laws of British Columbia, Canada. Parties agree to submit any and all legal proceedings to the Courts of Cranbrook, BC, Canada. Parties acknowledge and accept the aforementioned Jurisdiction and Law.
